The transaction, completed on 1 December 2025, involved a 100% share sale of First Steps Nursery (Maxey) Limited, a business dedicated to nurturing and educating children during their most formative years. This was not our first deal of such nature. SteelRose previously acted on the 100% share acquisition of Jack & Jill’s Day Nursery Limited (About Our Nursery & Pre-School in Hemel Hempstead | Jack & Jill's), undertaking complex due diligence across corporate, commercial, employment, regulatory and property matters. We also managed post completion compliance, structured the completion accounts and consideration mechanism in close coordination with financial and property advisers, and secured renewal of the nursery’s occupational lease to ensure continuity for the business.

In respect of the First Steps Nursery transaction, our team — Zu Tohtayeva, Jay El Chidiac, and Bobur Aminov — represented the sellers throughout the process. We helped refine the corporate structure and sale mechanics, advised on potential transactional and regulatory risks, and ensured a smooth and well-supported transition of the nursery from the sellers to the buyers.
